These Website Terms of Use (“Terms”) are a binding agreement between you and Wilder Systems, Inc. (“Wilder Systems,” “we,” “us,” or “our”) governing your access to and use of wsrobots.com and the pages, content, features, and services made available through that website (collectively, the “Site”).

By accessing or using the Site, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not access or use the Site. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes both you and the organization.

These Terms govern use of the Site only. Product purchases, leases, Robotics-as-a-Service arrangements, integrations, engineering or professional services, government contracts, and other commercial transactions are governed by the applicable quotation, proposal, purchase order, statement of work, or other written agreement accepted by Wilder Systems.

 

Eligibility and Business Use

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Site. The Site is intended primarily for business, professional, industrial, and governmental audiences. You are responsible for ensuring that your use of the Site complies with the laws and policies applicable to you and your organization.

 

Informational Site; No Offer or Professional Advice

The Site provides general information about Wilder Systems, our robotic automation platforms, capabilities, projects, and related services. Site content is for informational and evaluation purposes only. It is not a binding offer, quotation, commitment, warranty, engineering specification, safety instruction, export-control determination, or professional advice.

Submitting an inquiry or communicating with us through the Site does not obligate either party to enter into a transaction and does not create a customer, supplier, partner, fiduciary, agency, employment, or other special relationship. A commercial relationship arises only under a separate written agreement accepted by authorized representatives of the parties.

 

Product and Technical Information

Descriptions, specifications, performance figures, dimensions, images, videos, simulations, demonstrations, case studies, timelines, and other technical or product information on the Site may be illustrative, preliminary, simplified, or based on particular operating conditions. Actual configurations, performance, availability, lead times, and results may vary. We may change or discontinue Site content, products, features, or services without notice.

You are responsible for independently evaluating whether a product or service is suitable for your facilities, personnel, processes, safety requirements, regulatory obligations, and intended application. Do not use Site content as a substitute for approved operating instructions, technical documentation, a site-specific safety assessment, or advice from qualified professionals. Any warranties or performance commitments for a product or service must be stated in a separate written agreement.

 

Limited Permission to Use the Site

Subject to these Terms, Wilder Systems grants you a limited, revocable, non-exclusive, non-transferable permission to access and use the Site and to download or print reasonable portions of Site content solely for your lawful personal use or internal business evaluation of Wilder Systems and its products or services.

This permission does not transfer ownership of any Site content or grant any license under any patent, copyright, trademark, trade secret, or other intellectual-property right except for the limited permission expressly stated above.

 

Prohibited Conduct

You may not, directly or indirectly:

  • use the Site for any unlawful, fraudulent, deceptive, infringing, harmful, or unauthorized purpose;
  • copy, reproduce, republish, distribute, sell, sublicense, publicly display, or commercially exploit Site content except as these Terms expressly permit or with our prior written permission;
  • remove or alter copyright, trademark, confidentiality, attribution, or other proprietary notices;
  • access or attempt to access nonpublic areas, systems, accounts, data, or networks, or test, scan, or probe the vulnerability of the Site without written authorization;
  • introduce malware, malicious code, harmful files, or other material designed to interrupt, damage, monitor, or gain unauthorized access to systems or data;
  • interfere with the Site’s operation or impose an unreasonable or disproportionately large load on the Site or its infrastructure;
  • use scraping, harvesting, data-mining, bots, or other automated means to access or collect Site content, except that operators of public search engines may use standard indexing tools solely to create publicly searchable links and snippets in accordance with our robots.txt instructions;
  • bypass or defeat access controls, rate limits, security measures, consent mechanisms, or technical restrictions;
  • impersonate another person or organization, misrepresent your identity or affiliation, or submit false or misleading information;
  • submit content that violates another person’s rights or that you are not authorized to disclose; or
  • submit classified, controlled unclassified, export-controlled, proprietary, security-sensitive, financial-account, health, government-identification, or other sensitive information through a public Site form.

 

Inquiries and Other Submissions

If you submit an inquiry, message, attachment, suggestion, feedback, or other material through the Site or by using Site contact information (a “Submission”), you represent that you have the right to provide it and that it complies with these Terms.

Unless Wilder Systems has entered into a separate written confidentiality agreement covering the Submission, do not treat the Site or its public contact channels as a secure or confidential method for transmitting proprietary, export-controlled, classified, or other restricted information. A Submission does not create a duty of confidentiality beyond obligations imposed by applicable law or a separate written agreement.

You retain ownership of your Submission. You grant Wilder Systems and its service providers a non-exclusive, worldwide, royalty-free license to host, copy, transmit, review, use, and otherwise process the Submission only as reasonably necessary to respond to you, evaluate a potential business relationship or request, operate and secure the Site, maintain business records, and comply with law. This license does not transfer ownership of your intellectual property to Wilder Systems.

 

Intellectual Property

The Site and its contents—including text, product descriptions, designs, user interfaces, photographs, videos, graphics, diagrams, downloads, software, code, and the selection and arrangement of those materials—are owned by or licensed to Wilder Systems and are protected by intellectual-property and other laws.

Wilder Systems, wsrobots.com, our logos, product names (including WS1000, WS2000, WS3000, and WS5000), slogans, and trade dress are trademarks, service marks, or other brand identifiers of Wilder Systems or its licensors. You may not use them in a manner likely to cause confusion about sponsorship, affiliation, endorsement, or origin without prior written permission. Other names and marks appearing on the Site belong to their respective owners.

 

Third-Party Content and Links

The Site may link to or display content from third-party websites, social-media platforms, government resources, news outlets, customers, suppliers, or other sources. Those third parties control their own content, availability, security, and data practices. A link or reference does not necessarily mean that Wilder Systems endorses, sponsors, or is affiliated with the third party.

You access third-party sites and content at your own risk and subject to the third party’s terms and privacy practices. Wilder Systems is not responsible for third-party sites, content, products, services, or practices.

 

Privacy and Cookies

Our Privacy Policy explains how we collect, use, disclose, and protect personal information associated with the Site. The Site may also provide cookie or privacy-preference controls. By using the Site, you acknowledge that Internet transmissions are not guaranteed to be completely private or secure.

 

Export Controls and Sanctions

You must comply with applicable United States and other export-control, import, trade-sanctions, and anti-boycott laws and regulations. You may not access, use, export, re-export, release, transfer, or make available the Site or Site content in violation of those laws, including to a prohibited destination, person, or end use.

Public Site content is not intended to receive or transmit controlled technical data. Do not submit export-controlled technical data or other restricted information through the Site unless Wilder Systems has expressly authorized a secure method and the parties have established appropriate safeguards.

 

Site Availability, Security, and Enforcement

We may modify, suspend, restrict, or discontinue all or part of the Site at any time. We do not promise that the Site will be continuously available, error-free, secure, or free of harmful components. We may investigate suspected violations of these Terms and may restrict or terminate access, preserve information, or cooperate with authorities when we reasonably believe it is appropriate to protect the Site, Wilder Systems, our users, or others or to comply with law.

 

Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WILDER SYSTEMS DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES RELATING TO THE SITE OR SITE CONTENT, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, NON-INFRINGEMENT, MERCHANTABILITY, TITLE, AND FITNESS FOR A PARTICULAR PURPOSE.

WILDER SYSTEMS DOES NOT WARRANT THAT THE SITE OR SITE CONTENT WILL MEET YOUR REQUIREMENTS OR THAT DEFECTS OR ERRORS WILL BE CORRECTED. THIS SECTION DOES NOT ALTER ANY EXPRESS WARRANTY CONTAINED IN A SEPARATE WRITTEN AGREEMENT SIGNED BY WILDER SYSTEMS.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

 

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WILDER SYSTEMS AND ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, USE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE SITE, SITE CONTENT, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF WILDER SYSTEMS AND THE OTHER PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING SOLELY OUT OF OR RELATING TO THE SITE, SITE CONTENT, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT, IF ANY, YOU PAID WILDER SYSTEMS SPECIFICALLY TO USE THE SITE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.

The exclusions and limitations in this Section apply regardless of the form of action and even if a remedy fails of its essential purpose. They do not apply to liability that cannot be excluded or limited under applicable law, and they do not alter liability allocated in a separate written agreement governing products or services.

 

Indemnification

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Wilder Systems and its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers, from and against third-party claims, damages, judgments, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your unlawful or unauthorized use of the Site, your material violation of these Terms, or a Submission that infringes or violates another person’s rights. Wilder Systems may control the defense of a matter subject to indemnification, and you agree to cooperate reasonably with that defense.

 

Governing Law and Venue

These Terms and any dispute arising out of or relating to the Site or these Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-law principles. The state and federal courts located in Oklahoma County, Oklahoma, will have exclusive jurisdiction, and you consent to personal jurisdiction and venue in those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

 

Severability; Waiver; Assignment

If any provision of these Terms is held unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. A waiver is effective only if in writing and signed by Wilder Systems, and a waiver on one occasion is not a waiver on another occasion.

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, reorganization, sale of assets, financing, or by operation of law.

 

Entire Agreement; Relationship to Other Agreements

These Terms and the Privacy Policy constitute the entire agreement between you and Wilder Systems concerning your use of the Site and supersede prior or contemporaneous communications about Site use.

If you and Wilder Systems are parties to a separate written agreement, that agreement governs the products, services, confidential information, deliverables, transactions, or other matters within its scope. If that agreement expressly conflicts with these Terms regarding Site use, the signed agreement controls to the extent of the conflict.

 

Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last Updated” date. Changes are effective when posted unless a later date is stated. Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
